This document is an electronic record in terms of the Information Technology Act, 2000 and the rules thereunder as applicable, and the amended provisions pertaining to electronic records in various statutes as amended by the Information Technology Act, 2000. This electronic record is generated by a computer system and does not require any physical or digital signatures.

This document is published in accordance with the provisions of Rule 3(1) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, which require publishing the rules and regulations, privacy policy, and terms of use for access or usage of the TownZa Vendor Portal.

TownZa Vendor Terms of Use

Please read these Terms carefully before registering or accessing the Vendor Portal.

The domain name mytownza.com is operated by TownZa Technologies Private Limited, a company incorporated under the Companies Act, 2013, with its registered office in India (hereinafter referred to as "TownZa", "we", "us", or "our"). By registering on the Vendor Portal, accessing any part of it, or clicking "I Agree" during onboarding, you signify your unconditional acceptance of these Terms of Use.

1 Eligibility & Registration

Use of the Vendor Portal is available only to persons who can form legally binding contracts under the Indian Contract Act, 1872. Minors and persons incompetent to contract are not eligible.

  • You must be at least 18 years of age to register as a vendor.
  • You must hold a valid GSTIN, PAN, and any other business registration required by applicable law.
  • You agree to provide accurate, current, and complete information during registration and to keep it updated at all times.
  • TownZa reserves the right to refuse registration or cancel an existing registration at its sole discretion.
  • If you register on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.

2 Vendor Account & Password

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

  • You agree to immediately notify TownZa of any unauthorised use of your account at vendor-support@mytownza.com.
  • TownZa will not be liable for any loss arising from your failure to maintain credential confidentiality.
  • You may not use another vendor's account at any time, with or without their permission.
  • You agree not to share, transfer, or sub-license your Vendor Account to any third party.

3 Listing of Products & Services

You are solely responsible for the accuracy, completeness, and legality of the products and content you list. By listing a product, you represent and warrant that:

  • You are the owner of the product or hold a valid authorisation/licence to sell it.
  • The product is not counterfeit, stolen, illegal, hazardous, or prohibited under any applicable law or TownZa's Prohibited Items Policy.
  • All product descriptions, images, prices, and specifications are accurate and comply with the Consumer Protection (E-Commerce) Rules, 2020.
  • Products do not infringe any third-party intellectual property rights.
  • You will keep stock availability and pricing updated to prevent order fulfilment failures.
TownZa reserves the right, at its sole discretion and without prior notice, to remove, delist, or restrict the visibility of any product or listing that it deems to be in violation of these Terms, applicable law, or TownZa's policies.

4 Order Management & Fulfilment

Once a customer places an order, you are contractually obligated to fulfil it. You agree to:

  • Accept or reject orders within 24 hours. Unresponded orders may be auto-cancelled and negatively affect your seller performance score.
  • Pack goods securely and dispatch them by the committed shipping date.
  • Provide accurate and timely tracking information for all shipments.
  • Honour cancellations or returns in accordance with TownZa's Return & Cancellation Policy.
  • Resolve disputes related to wrong, damaged, or missing items in good faith within timelines specified by TownZa.

5 Pricing, Payments & Commission

  • Prices must include all applicable taxes (GST) unless explicitly stated otherwise.
  • You must not price products higher on TownZa than on any other comparable platform.
  • TownZa deducts a platform commission and payment gateway charges from each completed sale as per your active subscription plan.
  • Net settlements are processed on a T+7 business day cycle to your registered bank account.
  • TownZa may withhold settlement in cases of suspected fraud, chargeback disputes, or policy violations.
  • Disputes regarding payout amounts must be raised in writing within 15 days of the settlement date.

6 Prohibited Conduct

You agree that you will not, directly or indirectly:

  • List, sell, or facilitate the sale of counterfeit, illegal, stolen, or prohibited goods.
  • Misrepresent product origin, quality, brand, or compliance certifications.
  • Artificially inflate product ratings, reviews, or order counts through fake accounts or incentivised reviews.
  • Conduct off-platform transactions with customers introduced through TownZa to circumvent commission obligations.
  • Use the Portal to transmit spam, unsolicited communications, malware, or harmful software.
  • Collect or store customer personal data beyond what is strictly necessary for order fulfilment.
  • Engage in any activity that disrupts or interferes with TownZa's services or servers.

7 Intellectual Property Rights

All technology, content, design, trademarks, and logos on the Platform are the exclusive property of TownZa Technologies Private Limited or its licensors.

You retain ownership of product content you upload, but grant TownZa a non-exclusive, worldwide, royalty-free licence to use, reproduce, and distribute that content solely for operating and promoting the Platform. This licence terminates when you remove the content or close your account.

You must not use TownZa's name, logo, or branding in any external communication without prior written consent.


8 Suspension & Termination

TownZa reserves the right to suspend or permanently terminate your Vendor Account, with or without prior notice, in the following circumstances:

  • Breach of any provision of these Terms or TownZa's policies.
  • Suspicion or evidence of fraudulent, deceptive, or illegal activity.
  • Excessive customer complaints, returns, or negative feedback beyond acceptable thresholds.
  • Failure to fulfil orders or maintain adequate stock levels consistently.
  • Any other reason at TownZa's sole discretion.

Upon termination, pending settlements will be processed within 30 business days, subject to no outstanding disputes. You may voluntarily close your account by contacting vendor-support@mytownza.com.


9 Disclaimer of Warranties

The Vendor Portal is provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied. TownZa does not warrant that the Portal will be uninterrupted or error-free. You use the Portal entirely at your own risk.


10 Limitation of Liability

To the maximum extent permitted by applicable law, TownZa shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the Vendor Portal.

In no event shall TownZa's aggregate liability to you for all claims in any calendar month exceed the net commission fees actually collected from your store during that month.


11 Indemnification

You agree to indemnify, defend, and hold harmless TownZa Technologies Private Limited and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of your violation of these Terms, your product listings, or your violation of any applicable law or rights of a third party.


12 Governing Law & Dispute Resolution

These Terms shall be governed by the laws of India. Any dispute shall first be attempted to be resolved through mutual good-faith negotiation within 30 days of written notice. If unresolved, it shall be subject to the exclusive jurisdiction of the competent courts at TownZa's registered office city.


13 Amendments to These Terms

TownZa reserves the right to revise these Terms at any time. Material changes will be communicated via email or an in-Portal notice at least 14 days prior to the effective date. Your continued use of the Portal after the effective date constitutes your acceptance of the revised Terms.


14 Grievance Officer

In accordance with the Information Technology Act, 2000 and rules made thereunder, any complaints or concerns regarding content on the Platform or breach of these Terms may be directed to our Grievance Officer:
